The CONSTITUTION AND BY-LAWS of the ARLINGTON PROFESSIONAL
FIREFIGHTERS AND PARAMEDICS ASSOCIATION, INC. a labor organization
affiliated with the International Association of Firefighters.
ARTICLE 1 - GENERAL
SECTION I
NAME
This organization shall be known as the Arlington Professional
Firefighters And Paramedics Association, Inc. Referred hereafter
as "Local" or "Local Union".
SECTION 2
OBJECTIVES
The purpose and objectives of this Local Union shall be:
To further by all proper and legitimate agencies and means
the welfare of uniformed members of the Fire Department of
Arlington County, Virginia and their heirs and family, including
but not limited to, the payment of death benefits to the families
and heirs of deceased members of the corporation. To exercise
all such power and authority as may be necessary to carry
out the purposes and objectives above specified.
SECTION 3
AUTHORITY
This Local Union, its officers, representatives and members
shall recognize, observe and be bound by the provisions of
the Constitution and By-laws of the International Association
of Fire Fighters and the interpretations rendered by the International
General President, the resolutions, decisions and directives
of the Executive Board of the International Association of
Fire Fighters when made in conformity with the authority granted
by the Constitution and By-Laws of the International Association
of Fire Fighters and resolutions adopted and policies established
by delegates at conventions. (Article 13 of the International
Constitution and By-laws of the Association is recognized
as providing the basic rules governing this local)
SECTION 4
CHAPLAIN
The Local shall endeavor to have at least one Chaplain. The
Chaplain is to serve in a non-denominational capacity. Upon
approval by a majority of the membership voting at a regular
meeting, the Chaplain shall be an Honorary Member.
ARTICLE 2 - MEETINGS
SECTION I
RULES OF ORDER
The deliberations of this Local shall be governed by Atwood\\\´s
Rules for Meetings to the extent that such Rules are not superseded
by express provisions of this Constitution and By-Laws.
SECTION 2
TIME OF MEETINGS
Regular meetings shall generally be held on the second (2nd)
Wednesday of January, March, May, July, September, and November,
subject to change to a different day of the month at the discretion
of the President. The meeting will come to order at a time
prescribed by the President.
SECTION 3
PLACE OF MEETINGS
The place of the meetings for this Local Union shall be selected
at the discretion of the President and shall be a location
within Arlington County. The President shall provide the membership
with adequate notice of the location of each forthcoming meeting.
SECTION 4
SPECIAL MEETINGS
The President shall be empowered to call special meetings
at any time he deems necessary or upon the written request
of any ten members; the reason for the special meetings to
be stated in the request and any notice there of, to be kept
on file with the Secretary. Except in emergency situations,
the President shall have a minimum of seven days to notify
all members of the time and reason for the special meeting.
Each of the ten members who sign for a special meeting shall
be present at the special meeting unless they are physically
unable to attend due to illness. No business other than that
specified in the notice shall be addressed at a special meeting.
SECTION 5
QUORUM
The quorum necessary for the transaction of business at any
Regular or Special meeting of this Local shall be ten members.
The chair shall have the roll taken at the beginning of each
meeting to ascertain if a quorum is present. If no quorum
is present the chair shall be empowered fifteen minutes after
the starting time of the meeting to convene the Executive
Board to conduct the business at hand. A majority of the Executive
Board must rule on the business.
ARTICLE 3 - MEMBERSHIP
SECTION I
MEMBERSHIP
A member in good standing includes any person who has fulfilled
the requirements for membership in this Local and who has
not voluntarily withdrawn, become ineligible for continued
membership, or been suspended or expelled as provided in the
Constitution and By-Laws of the International Association
of Fire Fighters and the Constitution of this local.
SECTION 2
JURISDICTION
Applications for membership in this Local Union shall be
limited to uniformed members of the Fire Department, Arlington
County, Virginia.
SECTION 3
APPLICATION FOR MEMBERSHIP
All applicants for membership must submit an application
form at a regular meeting. Applications for membership shall
be presented at a regular meeting and read aloud, at which
time approval by two-thirds of the members voting shall be
necessary for acceptance; such applications are to be published
in the summary of the minutes. Anyone applying for membership
in this Local Union shall not be discriminated against because
of race, color, creed, national origin, sex, or by reason
of disability.
SECTION 4
CLASSES OF MEMBERSHIP
There shall be the following classes of membership: Active
Member, Life Member, Active-Retired Member, and Honorary Member.
All initial applications for memberships in this Local Union
shall be accepted for the Active Membership class only.
A) Active Member Shall be responsible for all assessments
and entitled to all rights, privileges and benefits of this
Local Union. Any active member who enters the Armed Forces
of the United States shall be entitled to all rights, privileges
and benefits of this Local Union, but shall be exempt from
all dues and assessments. Any such member who does not return
to the employ of the Arlington County Fire Department within
ninety days from his release from duty shall be dropped from
the rolls of this Local Union.
B) Life Member Subject to the conditions noted herein, any
member who separates from the fire service as a uniformed
member of the Arlington County Fire Department after having
served twenty (20) years, shall be presented with a Life Membership
in this Local. Life Membership members shall be entitled to
all rights, privileges and benefits of this Local, with the
exception of holding Local, State, or International Office.
However, they shall be exempt from all dues and assessments.
Any employee of the Arlington County Fire Department who fails
to serve twenty (20) years as a dues paying member will not
be considered a life member when said member separates from
service, unless the member satisfies the following requirement.
If a member does not have twenty (20) years as a dues paying
member, the member has the option to become a life member
by paying back dues at the current rate such that the member
will have paid a total of twenty (20) years of dues. Any member
in good standing who retires under disability retirement will
be eligible for life membership regardless of the number of
dues paying years.
C) Active -Retired If a member who retires wishes to continue
in an active status with the Local and the international Association
of Fire Fighters, such member may request to be placed in
the Active Retired membership category. An Active Retired
member shall be responsible for all assessments and dues as
specified in Article 6 and entitled to all rights, privileges
and benefits of this Local Union.
D) Honorary Member Any person, upon approval by a majority
of the membership voting at a regular meeting, the Local deems
deserving, may be made an Honorary Member, provided that said
person is not eligible for any other type of membership.
Honorary Members shall be able to attend all meetings and
functions of the Local Union, but shall not have any voting
rights, or be entitled to hold any office. They shall be exempt
from all dues and assessments.
SECTION 5
BENEFITS
Only members in good standing of this Local Union shall be
entitled to any benefits purchased by the Local Union for
the membership.
ARTICLE 4 - DIRECTORS AND OFFICERS
SECTION I
CORPORATION DIRECTORS
The President, Vice-President, Secretary, and Treasurer shall
be designated the Directors of this Corporation to comply
with State Corporation Laws.
SECTION 2
OFFICERS
The elected Executive Officers of the Local Union shall be
President, Vice-President, Secretary, and Treasurer and such
officials shall be nominated, elected and take office as hereinafter
provided. The term of office for each officer shall be for
a period of one year. The office shall commence on July 1st.
Each officer shall continue in office until their successor
is duly elected and assumes office as provided herein.
SECTION 3
THE PRESIDENT
The President shall be the Executive Head of the Local Union.
The President shall preside at membership and Executive Board
meetings and conduct the business of this Local Union. The
President, in addition to the Treasurer, shall sign all Local
Union checks. However, if the President is incapacitated or
for whatever reason absent, checks can be signed by any two
Officers of the Local. The President shall appoint committees
as he deems necessary.
SECTION 4
THE VICE PRESIDENT
The Vice President shall assist the President. In the absence
of the President the Vice President may sign checks. The Vice
President shall serve as coordinator between the President
and all Committees. The Vice President shall review the minutes
of the Retirement Board and the agenda and summary of the
minutes of the County Board and bring to the Local Union items
which may be of interest or concern to the Fire Department
and or this Local Union.
SECTION 5
THE SECRETARY
The Secretary shall keep accurate minutes of all Local Union
meetings and handle all normal correspondence of this Local
Union. In the absence of the President and Vice-President
the Secretary shall sign the checks. The Secretary shall distribute
a copy of the minutes of all meetings to each participating
station/work place within ten days after the meeting takes
place. The Secretary shall keep on file the members\\\´
insurance beneficiary and membership forms.
SECTION 6
THE TREASURER
The Treasurer shall be furnished a check book, and along
with the President (or other elected officer in accordance
with Section 3 of this Article 4), shall sign all checks written
on the Local Union\\\´s account(s) (unless the Treasurer
is absent or incapacitated). The Treasurer shall receive all
monies and deposit same in the organization\\\´s account(s).
The Treasurer shall keep complete and accurate records of
all transactions and as so far as practicable shall have the
Local\\\´s books ready for audit at any time. The books
shall be audited when any office is vacated or at least once
a year by a committee appointed by the President. In the case
of a change in the office of the Treasurer, (i.e. death or
resignation) the books are to be audited by an audit committee
appointed by the President. The Treasurer shall be bonded
in an amount equal to the worth of the Local Union or an amount
that is no less than required by the International Association
of Fire Fighters Board of Trustees and which complies with
applicable law, whichever is greater. The cost of said bond
above any cost paid for by the International Association of
Fire Fighters will be borne by the Local. The Treasurer shall
submit a written report at each regular meeting. Only authorized
members in good standing will have access to any checkbooks,
bank or financial records, or other financial instruments
of this Local Union. All Officers or members having authorized
access to aforementioned items shall be bonded by this Local,
for an amount set by the Executive Board. The Bond shall be
secured for this Local from a bonding company and paid for
by this Local Union. The Treasurer shall be responsible for
completing and filing the International Association of Fire
Fighters Local Union Audit Report as required by the International
Association of Fire Fighters.
SECTION 7
EXECUTIVE BOARD
There shall be an Executive Board of this Local Union. Said
Executive Board shall be comprised of the four elected Executive
Officers (President, Vice President, Secretary, and Treasurer)
and shall meet no less than once each calendar quarter. The
purpose of these meetings shall be to discuss the current
issues and policies of this Local Union. The Executive Board
shall have authority to act on behalf of the Local, including
the authority to make decisions regarding expenditures on
issues arising between regular meetings. Nothing shall prohibit
the President or two Executive Officers from calling an additional
meeting of the Executive Board as deemed necessary.
SECTION 8
SHOP STEWARDS
The President shall appoint Shop Stewards, so far as practicable,
to each fire station/work site within the Fire Department.
Shop Stewards shall be responsible to their stations to bring
all relevant information before the Executive Board or the
Executive Officers and to advise their stations as to the
day to day changes that come up in the local. It shall be
the responsibility of the Shop Steward to attend the Regular
and Special meetings of the Local Union. It shall be their
responsibility to designate an alternate if they are unable
to attend any meeting.
SECTION 9
SERGEANT OF ARMS
The chair of any regular or special meeting may appoint a
Sergeant of Arms for the purpose of providing the Secretary
with a list of names of all members present, assisting the
chair in keeping members seated and in order and carrying
out such administrative and/or logistical duties as may be
directed by the chair.
SECTION 10
MONTHLY OFFICER\\\´S FEES
Individuals elected to the Office of President, Vice President,
Secretary and Treasurer shall receive a monthly fee during
the time they are in office, the amount of which shall be
a percentage of the monthly salary paid to an Arlington County
Fire Fighter at entry (starting) Fire Fighter level. The specific
percentage that is applicable to each office is as follows:
President: 25% of entry level Fire Fighter Salary
Vice-President: 15% of entry level Fire Fighter Salary
Secretary: 15% of entry level Fire Fighter Salary
Treasurer: 15% of entry level Fire Fighter Salary
The appropriate fee shall be paid once a month to the incumbent
officers, and the amount shall be adjusted as adjustments
are made to the entry level fire fighter salary (but in no
event shall the amount be decreased).
ARTICLE 5 - ELECTIONS / VACANCIES IN OFFICE
SECTION I
NOMINATING / ELECTIONS COMMITTEE
In March of alternating calendar years (beginning in 1997)
at the Regular March Meeting, the President shall appoint
a Nominating/Elections Committee of five (5) members which
shall then meet prior to the Regular May Meeting and select
at least one (1) candidate for each Executive Office who is
eligible and willing to serve in the respective office. The
Nominating/Elections Committee shall present its report to
the membership at the Regular May Meeting. Nominations for
the Elected Executive Officer positions may also be made by
any member in good standing from the floor at the Regular
May meeting. The membership shall be provided with at least
thirty (30) days written notice of nomination of officers
(such notice to include a time, place, and forum for the submission
of nominations. Any member who wishes to nominate another
for office, or who wishes to accept a nomination, shall be
present at the Regular May Meeting. Written nominations and
acceptances shall be permitted only if. (1) the individual
is unable to attend the Regular May Meeting because the individual
is on duty within the Fire Department; (2) approved by the
majority of the members present and voting at the Regular
May Meeting. A member may decline a nomination from the floor.
SECTION 2
ELECTIONS
The membership shall be provided at least fifteen (15) days
written notice of all elections. The Election Committee shall
distribute ballot boxes (appropriately secured) to each fire
station and bureaus no earlier than May 15 and no later than
May 20 of each election year. At the same time, the committee
shall also deliver to each steward (or if there is no steward,
to the most senior member in the station or bureaus) ballots
to be used in the voting process (no more than one per member).
The steward (or senior member) shall distribute the ballots
to the members in the station or bureau by May 25. Written
ballots will be distributed to all members and the members
will place their completed written ballot in the ballot boxes
in the fire stations by June 15th of each year. The ballot
boxes shall then be collected and the ballots will be counted
by the nominating/elections committee at a Special Meeting
of the Membership to be held between June 16 and June 30 of
election years, pursuant to the other provisions of this Article.
Life Members an
Active-Retired Members shall have ballots mailed to them in
sufficient time to vote during the balloting period. Life
Members and Active-Retired Members ballots must be received
by the Local Union no later than June 15. The unopened ballots
will be opened and counted by the nominating/elections committee
at the Special Meeting of the Membership to be held between
June 16 and June 30 of election years. Write-in votes shall
not be permitted for any officer election. Each candidate
for office shall be entitled to appoint an observer who shall
be permitted to witness the preparation of ballots at the
Special Meeting of the Membership to be held between June
16 and June 30 of election years at which the votes are tabulated.
The duly elected officers shall take office on the following
first day of July.
SECTION 3
VACANCY IN OFFICE
In the event any individual elected to office is unable for
any reason to take office on July 1, then a new election shall
be conducted, including a new nominating process, as soon
as possible in the same general manner as set forth above
in this Article 5. The office shall remain vacant until the
new election is conducted; unless, however the vacant office
is that of the President, in which case the Vice President
shall serve as Acting President until the election process
is completed.
In the event the office of President becomes vacant for any
reason after July 1, the individual then serving as Vice President
shall become President for the remainder of the term.
In the event one of the other Executive Officer positions
become vacant for any reason after July 1, such office shall
be filled by a secret vote of the members in attendance at
the next meeting (special or regular). Nominations shall be
made from the floor and the individual receiving a majority
of the votes cast (after a run-off, if necessary) shall fill
the office for the remainder of the term.
SECTION 4
FILLED BY ACCLAMATION
If any of these Local Union offices have less than two candidates
for office, that office shall be declared filled by acclamation.
ARTICLE 6 - REVENUES AND FUNDS
SECTION 1
DUES
Dues in the amount of one percent of the starting salary
per year, payable anytime up through January 31st of the dues
year, or payable on payroll deduction simultaneous with the
dues year, shall be assessed each active member Retired members
wishing to be classified as Active Retired members shall be
assessed dues in the amount of one half of one percent of
the starting salary per year, payable anytime up through January
31st of the dues year, or payable via automatic deductions
from their pension checks simultaneous with the dues year.
All monies due the Local shall be considered dues and are
payable in the manner as dues. Failure by those not on automatic
deduction to pay the required dues by January 31st of a dues
year shall require that the affected members be notified by
the Local Union of their arrears status. Such notification
shall be sent by registered mail prior to the regular February
meeting and a copy shall be filed in the member\\\´s
personnel folder in the Local\\\´s office. Any member
further failing to pay the required dues by February 28th
of a dues year shall be dropped from the rolls of this Local
Union for non-payment of dues.
SECTION 2
ASSESSMENTS
Assessments (including any increase in dues) may be made
only in the following manner: Each member shall be notified
in writing at least thirty days in advance of the meeting
at which the vote for assessment is to occur. The proposed
assessment shall become effective upon a majority vote of
the members in good standing voting in the affirmative. Voting
shall be conducted by secret ballot.
SECTION 3
INITIATION AND REINSTATEMENT FEES
Individuals who have never before been members of this Local
Union and who apply for membership shall not be charged an
initiation fee. The Local Union shall be responsible for paying
any initiation fee for such new members that is required to
be remitted to the International Association of Fire Fighters.
Individuals whose membership in this Local Union terminated
at any time and who subsequently apply for reinstatement shall
be charged a reinstatement fee equal to two times the then-current
initiation fee charged by the International Association of
Fire Fighters on new members. Increases in reinstatement fees
may be implemented only upon compliance with the procedure
set forth in Section 2 of this Article 6.
SECTION 4
BUDGET
It shall be the responsibility of the incoming President
to appoint a budget committee. It shall be the responsibility
of said committee to present a proposed balanced budget at
the September membership meeting each year. It shall be the
responsibility of the body to adopt a balanced budget at the
September meeting of each year. A balanced budget shall be
defined as one in which anticipated expenditures and reserves
do not exceed anticipated revenues.
SECTION 5
PROPOSED EXPENDITURES
Except as provided for in Article IV, Section 7, proposed
expenditures for a purpose not specified in the approved budget
shall be approved by a majority of the members present and
voting at a Regular or Special meeting prior to making such
expenditures. Expenditures from the Local Union\\\´s
savings category shall be voted on at a meeting. Expenditures
from all accounts other than those for normal operating expenses
shall require prior approval of a majority of the Executive
Board.
SECTION 6
AUTHORITY TO INCUR EXPENSES
The following members are authorized to incur expenses in
the name of the Local Union: President, Vice President, Treasurer,
Secretary, and the Committee Chairpersons. No other member
of this Local shall take any action to obligate this Local
for any expense, debt or payment of any kind, including but
not limited to, hiring or engaging an attorney, unless the
Local Union has in advance, given said member written authorization.
"Local Union" in this section shall mean the President
acting in conformance with action taken either by the Executive
Board or the Membership. All authorized members who spend
Local funds are required to submit an expense record to the
Treasurer within five (5) working days of the expenditure.
The expense record shall include a receipt, the amount of
the expenditure, the purpose of the expenditure, and the Local
budget account number line item from which the payment was
authorized. All members who fail to submit a complete expense
record on time shall be personally liable for the expense.
SECTION 7
PROPOSED CONTRACTS
All proposed contracts for the receipt or expense of monies
shall be considered and approved by following the procedures
listed below:
Receipt of proposal.
Review by Local Union Attorney.
If approved by the attorney, the contract is then considered
by the Executive Board.
If the Executive Board approves of the contract, then it is
brought forth at a Regular or Special meeting for discussion
and final approval.
If approved at a membership meeting, all contracts will then
be signed by the President and the Treasurer. If the Treasurer
or President is incapacitated or for whatever reason absent,
then the contract can be signed by any two (2) officers of
the Local Union.
ARTICLE 7 - LIFE INSURANCE
SECTION I
DEATH BENEFIT
The Local Union shall purchase and maintain in force a group
insurance policy covering all members, other than Honorary
Members, that provides term life insurance and accidental
death and dismemberment coverage.
SECTION 2
PREMIUM REFUNDS
When a member leaves the Local Union, other than by retirement,
his policy coverage under the group insurance terminates,
and all premium refunds, if any shall become part of the assets
of the Local Union.
ARTICLE 8 - CONVENTION DELEGATES
SECTION 1
DELEGATES TO STATE CONVENTIONS
The elected Executive Officers (President, Secretary, Treasurer
and Vice President) of this Local shall attend as delegates
by virtue of their office all state conventions. If additional
delegates are permitted to attend such State Conventions,
they will be chosen by secret ballot.
SECTION 2
DELEGATES TO INTERNATIONAL CONVENTIONS
The President and Secretary by virtue of their office will
be delegates to all International Association of Fire Fighters
Conventions. The Vice President and Treasurer by virtue of
their office will be alternates to all International Association
of Fire Fighters Conventions. This information will be printed
on all ballots for election of officers.
ARTICLE 9 - PUBLIC COMMUNICATIONS
SECTION 1
PUBLIC INFORMATION
Any publications, news releases, or announcements released
by the Local Union shall be the responsibility of the elected
Executive officers of the Local Union or a member designated
by an elected Executive Officer. No member shall make any
public statements on behalf of the Local Union without prior
authorization from an elected Executive Officer.
ARTICLE 10 - MISCONDUCT / TRIALS AND APPEALS
SECTION I
MISCONDUCT / TRIAL BOARD
Any member charged with misconduct as defined in the International
Association of Fire Fighters Constitution and By-Laws shall
be served with written specific charges and given a reasonable
time to prepare his/her defense and afforded a hearing as
provided in the applicable provisions of the International
Association of Fire Fighters Constitution and By-Laws.
SECTION 2
APPEALS
Appeals of the Local Union Trial Board\\\´s decision
may be made in accordance with the appeal procedures set forth
in the International Association of Fire Fighters Constitution
and By-Laws.
ARTICLE 11 - AMENDMENTS
SECTION I
AMENDMENTS TO THE BY-LAWS
Any proposed amendment to the Constitution and By-Laws of
this Local Union shall first be submitted to the Secretary,
in writing, and signed by three members, prior to the meeting
at which it is to be read. Any proposed amendment shall be
read aloud at the next scheduled Regular meeting and tabled
for action until the following Regular meeting. At least fifteen
(15) days prior to the meeting at which action is to be taken
on a proposed amendment, a copy of the proposed amendment
shall be provided to each participating fire station/work
place where it will be posted on the bulletin board therein.
A two-thirds approval by the members voting at the meeting
at which action is to be taken shall be required for any proposed
amendment to become effective. This Local Union\\\´s
Constitution and By-Laws shall conform to amendments or changes
to the International Association of Fire Fighters Constitution
and By-Laws. Any proposed amendments to this Constitution
and By-Laws shall be submitted following adoption by this
Local Union for approval by the General President of the International
Association of Fire Fighters prior to printing or issuance.
